1. Acceptance of Terms
By accessing our website or engaging our services, you agree to be bound by these terms. Growzai ("we," "our," or "us") provides digital marketing services including but not limited to SEO, AEO, website development, social media management, advertising, and branding. If you do not agree to these terms, please do not use our services.
2. Services
We provide digital marketing and web development services as described on our website and in individual service agreements. The specific scope, deliverables, timeline, and pricing for each engagement are defined in the proposal or agreement shared before work begins. We reserve the right to update our service offerings, pricing, and terms at any time.
3. Client Responsibilities
Clients are responsible for: providing accurate business information, timely feedback and approvals, access to necessary accounts and platforms (Google Analytics, social media, hosting, etc.), and ensuring that all content provided to us for use in marketing campaigns does not infringe on third-party intellectual property rights.
4. Payment Terms
Payment terms are specified in individual service agreements. One-time services require 50% advance payment before work begins and 50% upon completion. Monthly services are billed at the start of each month. All fees are in Indian Rupees (INR) unless otherwise specified. Late payments may incur a suspension of services after a 7-day grace period.
5. Intellectual Property
Upon full payment, clients receive ownership of deliverables including website code, design files, content, and brand assets created specifically for their project. We retain the right to showcase completed work in our portfolio and case studies unless otherwise agreed in writing. Third-party assets (stock images, fonts, plugins) are subject to their respective licenses.
6. Results Disclaimer
Digital marketing results depend on many factors including market competition, algorithm changes, content quality, and industry dynamics. While we employ industry best practices and data-driven strategies, we cannot guarantee specific rankings, traffic numbers, or revenue outcomes. Case studies and results shared on our website reflect actual client outcomes but should not be interpreted as guaranteed results for future clients.
7. Cancellation and Refunds
Monthly services can be cancelled with 15 days written notice before the next billing cycle. No refunds are provided for the current billing period. For one-time projects, cancellation after work has begun will be charged proportionally based on work completed. The initial advance is non-refundable once work has started.
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement, including business strategies, analytics data, customer information, and trade secrets. This obligation survives the termination of the service agreement.
9. Limitation of Liability
Growzai's total liability for any claims arising from our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption.
10. Governing Law
These terms are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
